§ 1 Scope
These Terms and Conditions apply to the provision and use of the Software-as-a-Service solution ‘Dein Eventplaner’ (‘Software’), accessible at go.deineventplaner.com, by Frankfurter Haus, Darmstädter Landstraße 741, 63263 Neu-Isenburg, represented by the managing director Constantin von Bienenstamm, registered in the Commercial Register of the Local Court of Frankfurt am Main under HRB 125386 (“Provider”), in relation to businesses within the meaning of Section 14 of the German Civil Code (BGB) (“Customer”).
This offer is intended exclusively for business customers; it is not intended to form a contract with consumers. Any terms and conditions put forward by the customer that differ from these shall only apply with the provider’s express consent.
§ 2 Subject-matter of the Contract and Description of Services
The provider makes the software available to the customer via the internet as a multi-tenant SaaS solution. The specific scope of services depends on the selected tariff and the relevant service description (scope of functions per tariff). The software is intended, in particular, to:
- the preparation of event proposals and internal working documents (function sheets),
- customer and appointment management (CRM, calendar),
- the overview of invoices, as well as analyses and reports,
- the creation of PDF documents (quotes, function sheets, menus) with client-specific branding.
Important: The invoice overview in the software is not a debtors’ management system and does not replace legally compliant invoicing or till software. It is not GoBD-compliant and does not guarantee legally compliant record-keeping. The customer issues legally compliant final invoices via their till or accounting system (see User Manual). This distinction applies to the documents generated by the customer within the software; it does not apply to the provider’s subscription invoices to the customer (Section 5).
§ 3 Conclusion of the Contract and Registration
The customer registers independently (self-service registration with double opt-in) and thereby creates their client account. The contract comes into effect upon activation of access or upon selection of a paid tariff and completion of the payment process. The customer confirms that they are acting as a business and undertakes to keep their details up to date.
§ 4 Rights of Use
The Provider grants the Customer a simple, non-transferable and non-sublicensable right to use the software within the scope specified in the contract for the duration of the contract. Any modification, reproduction or provision to third parties beyond the scope specified in the contract is prohibited.
§ 5 Tariffs, prices, trial period and payment
The software is available in a range of subscription tiers. The subscription tiers currently available and the features included in each are listed on the provider’s website and in the customer’s account. The subscription tier selected determines the range of features that are activated.
- Prices: The prices for the selected tariff shown in the account at the time of booking apply, plus statutory VAT. The tariffs, services and upgrade/downgrade rules are set out clearly in the account (see separate document ‘Tariff and Upgrade Transparency’).
- Billing: Depending on the billing period selected, payment is due monthly or annually in advance. Payment processing is handled by the payment service provider Stripe (Stripe Payments Europe, Ltd., Ireland) – including checkout, subscription management and invoicing.
- Trial period: The provider may offer a free 14-day trial period without the need to provide payment details. No automatic payment obligation arises at the end of the trial period; the customer receives an email containing a link to the checkout page. A paid contract is only concluded once the payment process has been actively completed.
- Upgrade/Downgrade: An upgrade to a higher tariff takes effect immediately; the difference for the current billing period is calculated on a pro rata basis. A downgrade takes effect at the end of the current billing period. Upon downgrading, the features no longer included in the tariff are no longer available from the date the change takes effect.
- Late payment: In the event of late payment, the provider is entitled to suspend or restrict access following reasonable notice; the statutory provisions regarding default remain unaffected.
This does not include the reverse-charge procedure, customised discount rules, special invoicing arrangements or manual invoicing outside the payment service provider’s system.
§ 6 Term and Termination
The contract term corresponds to the selected billing period (one month or twelve months) and is automatically extended for the same period each time, unless the contract is terminated by the end of the current billing period. Termination may be effected via the account or in writing (e.g. by email to info@deineventplaner.com). The right to terminate the contract for cause remains unaffected.
§ 7 Availability, Maintenance and Support
The provider endeavours to ensure a high level of software availability, averaging 99 per cent per month. This excludes scheduled maintenance windows and disruptions beyond the provider’s control. Support is provided by email to info@deineventplaner.com and by telephone on 06102 7197890 during normal business hours.
§ 8 The Customer’s Obligations and Cooperation
Customers are subject to the following obligations in particular:
- He keeps his login details confidential and is responsible for the users created under his account and their permissions (role model).
- He is responsible for the lawfulness of the content entered and the processing of third parties’ personal data; in this respect, he is the data controller within the meaning of the GDPR.
- He shall refrain from any misuse, any tampering with the software and any circumvention of security or pricing restrictions.
§ 9 Data Protection and Data Processing on Behalf of a Controller
Where the Provider processes personal data on behalf of the Customer (content data), the Data Processing Agreement (DPA) pursuant to Article 28 of the GDPR, which forms an integral part of this contract, shall apply in addition. The Provider is the data controller for account, registration and billing data; in this respect, the platform’s privacy policy applies.
§ 10 Data backup and data export upon termination of the contract
The customer may export their data at any time during the term of the contract (e.g. as a CSV/Excel file). Upon expiry of the contract, the provider shall make the data available for export for a period of 30 days and shall subsequently delete it in accordance with the General Terms and Conditions, provided that no statutory retention obligation precludes this.
§ 11 Warranty
The Supplier shall provide the software to the extent agreed in the contract. Minor impairments to its functionality shall be disregarded. In the event of defects, the Supplier shall remedy them within a reasonable period.
§ 12 Liability
The provider shall be liable without limitation in cases of wilful misconduct and gross negligence, as well as in the event of injury to life, limb or health. In the event of a breach of essential contractual obligations (cardinal obligations) due to slight negligence, liability shall be limited to the foreseeable damage typical for this type of contract. In all other respects, liability is excluded. Liability under mandatory statutory provisions remains unaffected.
§ 13 Amendments to the Terms and Conditions and Services
The Provider may amend these Terms and Conditions and the scope of services for objective reasons (e.g. further development, changes in the legal situation) subject to reasonable notice. Unless the Customer objects within the specified period, the amendments shall be deemed to have been accepted; the deadline and the right to object shall be specifically stated.
§ 14 Confidentiality
The parties shall treat each other’s confidential information as confidential and shall use it solely for the purposes of this contract.
§ 15 Final Provisions
German law shall apply. The exclusive place of jurisdiction shall be – to the extent permitted by law – the provider’s registered office. Any amendments or additions must be made in writing. Should any provision be invalid, this shall not affect the validity of the remaining provisions.
